In these Terms and Conditions following terms have the following meanings:
"Website" means the website at www.myfansbase.com.
"LLC" means MyFansBase, LLC, with company registered address: 1700 North Congress Ave. West Palm Beach, FL 33401
"Fan" means a User who follows and pay for another Content Creator and views the Content Creator's User's Content;
"Content Creator" means a User who uploads Content on the Website to be viewed by other Users (Fans);
"MyFansBase" social media cyber-mall sharing website which enables Users to provide and view User's Content and where appropriate, utilize Fan Interaction;
"User" means any user of the Website, whether a Content Creator or a Fan;
"User Account" means the section on the Website which can only be accessed by LLC;
"User's Content" means any and all the photos, videos and other material uploaded onto the Website by a Content Creator;
About Website
The Website is social media cyber-mall sharing website for Fans. The Website's application service allows Users to create a profile into the Website. profile allows Users (Content Creator) to upload photos and videos onto their profile by setting a monthly subscription price payable by other Users (Fans) who wish to view their User's Content and thereby generate revenue from Fans. MyFansBase is operated by LLC. These terms and conditions govern your use of this Website; by using this Website, you accept terms and conditions in full. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use this website. Any information given on the Website is not legally binding on LLC, moreover it is informative only and does not form part of the Terms and Conditions. The Website is only offered and available to Users who are 18 years of age or older. By using the Website, you affirm that you are at least 18 years of age and you are binding a contract with LLC. LLC reserves the right to make changes to these Terms at any time. You are anticipated to check the Terms and Conditions time to time so you are aware of any changes, because they are binding on you. By using MyFansBase you are giving consent to receiving communications from LLC, including messages and emails. LLC does not own User's Content on MyFansBase and views expressed by Users on MyFansBase do not represent LLC's views. All transactions and interactions regarding User's Content on MyFansBase are between Users. Where LLC receives payment from a Fan to view User's Content uploaded by a Content Creator, LLC receives such payment on behalf of the Content Creator and not on behalf of the Fan. LLC reserves the right at any time and without notice to modify, suspend, terminate, restrict, limit, delete any content you post on MyFansBase as a Content Creator if that does not comply with these Terms and Conditions and/or any applicable law; monitor any use of MyFansBase (including any content or message) investigate any suspected or alleged misuse or unlawful use of MyFansBase and cooperate with law enforcement agencies in such kind of investigation; disclose any suspected or alleged illegal activity information about your use of MyFansBase in connection with law enforcement investigation of; From time to time, LLC may restrict access to some parts of the Website, or the entire Website, to Users with reasonable cause.
Account Registration
To become a User, you must register and create an Account on MyFansBase. It is a condition that all of the information you provide on the Website is correct, complete and current. To view User's Content you will need to add a payment card to the Website. If you are a Content Creator and want to receive payment of Commissions, you will need to include onto your User Account Payout Options and upload a valid form of Identity Document (ID). You may also need to submit additional legal information, a W-9 as s resident of the United States of America. LLC reserve the right, at any time, to verify the information which you provide in account registration. LLC reserve the right to suspend your account if unable to verify. You are fully responsible for any and all activities including your confidentiality on login details. You are expected not to disclose these details to any person or entity. If you have a reason to believe that someone has used or is using your account without your permission or if your account has been subject to any other breach of security immediately notify LLC at support@myfansbase.com. By Violating any terms LLC reserves the right to disable any registered account.
Subscription and Payment
LLC will procure that Payment Providers ensure that Content Creators will receive the Commission from LLC. The Content Creator will set own price level. Fan will purchase price levels by monthly payments; therefore, LLC will receive Revenue and Content Creator will receive Commission. By paying monthly payments of $5-$14.99, $15-$49.99, $50-$99.99; LLC will compensate respectively $0.99, $2.50, $5.00 from each Fan per month; therefore, rest of the Revenue will be added as Content Creator Commission. To view User's Content on MyFansBase, you must add a payment card first. After clicking the 'Subscribe' button on the relevant Content Creator's profile your payment card will pay it into LLC's account and you will able to watch the content.
Depending on your use of My Fans Base the Payment Provider will take monthly payments or will take payments for ad hoc purchases. However, by turning off the 'Auto-Renew' switch located under the relevant Content Creator's User's Content profile or by contacting LLC at support@myfansbase.com. you may cancel the monthly payments at any time If you cancel your monthly payments you will continue to be permitted to view the Content Creator's User's Content until the end of the existing billing period. After which no further payments will be taken from your payment card and you will no longer be able to view the relevant Content Creator's User's Content. All payments to view User's Content are final and non-refundable.
Intellectual Property Rights
Unless otherwise stated, LLC and/or its licensors own the intellectual property rights for all material on LLC. All intellectual property rights are reserved. You may access this from LLC for your own personal use subjected to restrictions set in these terms and conditions. You must not:
The MyFansBase name, logo and all related names, logos, product and service names, designs, and slogans are trademarks of LLC or LLC licensors. You must not use such marks without LLC prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.
Acceptable Use Policy
Services provided by us may only be used for lawful purposes. You agree to comply with all applicable laws, rules and regulations in connection with your use of the services. Any material or conduct that in our judgment violates this policy in any manner may result in suspension or termination of the services or removal of user's account with or without notice.
Prohibited use
You may not use the services to publish content or engage in activity that is illegal under applicable law, that is harmful to others, or that would subject us to liability, including, without limitation, in connection with any of the following, each of which is prohibited under this AUP:
Enforcement
Your services may be suspended or terminated with or without notice upon any violation of this policy. Any violations may result in the immediate suspension or termination of your account.

Please note that, under the DMCA, any person who knowingly makes material misrepresentations in a notification of claimed infringement or in a counter-notification may be liable for damages.
Social Media Features
As part of the functionality of the Site, you may link your account with online accounts you have with third-party service providers (each such account, a "Third-Party Account") by either: (1) providing your Third-Party Account login information through the Site; or (2) allowing us to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account.
You represent and warrant that you are entitled to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account, without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account, and without obligating us to pay any fees or making us subject to any usage limitations imposed by the third-party service provider of the Third-Party Account.
By granting us access to any Third-Party Accounts, you understand that (1) we may access, make available, and store (if applicable) any content that you have provided to and stored in your Third-Party Account (the "Social Network Content") so that it is available on and through the Site via your account, including without limitation any friend lists and (2) we may submit to and receive from your Third-Party Account additional information to the extent you are notified when you link your account with the Third-Party Account.
Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on the Site.
Please note that if a Third-Party Account or associated service becomes unavailable or our access to such Third-Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Site. You will have the ability to disable the connection between your account on the Site and your Third-Party Accounts at any time.
PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS.
We make no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and we are not responsible for any Social Network Content.
You acknowledge and agree that we may access your email address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer solely for purposes of identifying and informing you of those contacts who have also registered to use the Site.
You can deactivate the connection between the Site and your Third-Party Account by contacting us using the contact information below or through your account settings (if applicable). We will attempt to delete any information stored on our servers that was obtained through such Third-Party Account, except the username and profile picture that become associated with your account.
User indemnification
By using MyFansBase, you agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) [your Contributions]; (2) use of the Site; (3) breach of these Terms and Conditions; (4) any breach of your representations and warranties set forth in these Terms and Conditions; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
GOVERNING LAW
These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of Florida applicable to agreements made and to be entirely performed within the State/Commonwealth of Florida, without regard to its conflict of law principles.
Disclaimer of Warranties; Limitation of Liabilities
To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. Nothing in this disclaimer will:
